4. Payment Terms

b) A 50% deposit is required before work commences on projects exceeding €1,000.
c) Remaining balance is due within 14 days of final delivery.
d) Late payments incur a 1.5% monthly interest charge on the outstanding balance.
e) All quoted prices are fixed for the duration of the project unless scope changes are requested.

5. Intellectual Property
a) Upon receipt of full payment, all intellectual property rights for deliverables are transferred to the client.
b) GrowthSignalLabS retains the right to use anonymized project data and general methodologies for portfolio and marketing purposes unless explicitly restricted in the SOW.
c) Third-party libraries, frameworks, and open-source components remain subject to their respective licenses.

6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the project for a period of 24 months.

7. Limitation of Liability
GrowthSignalLabS's total aggregate liability under any engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We shall not be liable for indirect, incidental, or consequential damages.

8. Warranty
GrowthSignalLabS warrants that all deliverables will conform to the specifications defined in the SOW for a period of 30 days following final delivery. During this period, we will rectify any defects related to the original specifications at no additional cost.

9. Termination
a) Either party may terminate with 14 days' written notice.
b) In the event of termination, the client is responsible for payment of all work completed to date.
c) Upon termination, GrowthSignalLabS will deliver all completed work and source materials within 7 business days.

c) Any outstanding work not yet delivered will be compiled and provided to the client upon cancellation.

5. Client-Initiated Scope Changes
Refunds are not available for work completed in good faith based on client-provided requirements that are later changed or withdrawn. Scope changes are governed by a formal change request process outlined in the SOW.
